1. Scope & Provider

These Terms & Conditions apply to all contracts between Mingle Berry Media (hereinafter "we") and customers (hereinafter "you") regarding the use of our services, in particular the Web2-to-ICP migration ("Migrator"). The provider is the entity named in the Legal Notice. Our offerings are directed at businesses within the meaning of § 14 BGB (B2B) / also at consumers — please specify.

2. Subject Matter of Services

We migrate Web2 applications to the Internet Computer (ICP): rebuilding backend, data, auth and frontend as canisters or a static on-chain clone, depending on the detected stack and the selected plan (Starter / Pro / Enterprise). The specific scope results from the respective service description / quote.

3. Conclusion of Contract

The presentation on the website is not a binding offer. The contract is concluded through your order + our confirmation / acceptance of offer — add process.

4. Prices & Payment

The prices stated at the time of order apply (Starter Price, Pro Price, Enterprise individual). Compute costs (cycles / ICP compute) are billed at cost / separately. Payment terms, due dates and taxes: add.

5. Customer Cooperation

You provide the accesses/exports required for the migration (e.g. repository, database dump, configuration) and warrant that you are entitled to do so and do not infringe any third-party rights.

6. Service Level (Enterprise)

SLA details (e.g. 99.95% availability), response times, maintenance windows — add.

7. Liability

We are liable without limitation for intent and gross negligence as well as under the Product Liability Act and for injury to life, body or health. Otherwise, liability is limited to the foreseeable damage typical of the contract — please have a lawyer draft this.

8. Term & Termination

Term (one-off / monthly for Pro), notice periods, data export at end of contract — add.

9. Final Provisions

German / Spanish law — to be determined applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Location, insofar as legally permissible. Should individual provisions be invalid, the remainder of the contract remains effective.
